Terms of service

These terms apply when a company or other organisation ("you") uses Roger Shadelyt, the software and hosted service made by Shadelyt ("we", "us"). Where a signed order form or agreement between us says something different, that document applies.
The service
Roger Shadelyt checks what your people send to AI tools from their PCs and stops, warns about or redacts sensitive
data, according to the policies you set. You use it through your own console, which we run for you at
yourcompany.shadelyt.com, with your data stored in a PostgreSQL database that you provide. Your plan,
the number of PCs and the price are in your order or on our website's pricing section.
Free trials
A trial is free for 30 days on up to 15 PCs, unless we agree otherwise in writing. It is provided as it is, with no charge and no commitment. It ends by itself at the end of the 30 days unless you subscribe, and either of us may end it earlier.
Your licence
While your subscription is paid, you may use Roger Shadelyt on the number of PCs you pay for, for your own internal business. A PC counts once, however many people use it. Extra PCs can install it, but they are protected only when a licensed seat is free. You may not sell, rent or pass on the software, copy it except to install it, or take it apart to find out how it works, except where the law allows it, and you may not use it to build a competing product.
Fees and payment
- Prices are in Indian rupees and exclude GST, which is added to invoices as the law requires.
- Subscriptions are invoiced in advance, monthly or yearly as agreed in your order. One-time setup fees, if your order has one, are invoiced when the order is placed.
- Invoices are due on the date shown on them.
- We may change our prices with 30 days' notice. A new price applies from your next renewal, never to a period you have already paid for.
If a payment is late
Nothing switches off on the due date. If an invoice is still unpaid:
- For a grace period (normally 30 days), everything keeps working as usual, and we remind you.
- Then, for a restricted period (normally 15 days), PCs warn instead of blocking.
- After that, the licence is suspended until the invoice is paid.
Your data is never deleted because a payment is late.
The hosted service
- We run your console at
yourcompany.shadelyt.com, keep it updated, and keep its certificate current. - Your console keeps its data in a PostgreSQL database that you provide. You are responsible for that database: keeping it available, backing it up and controlling who can reach it.
- We may restart or update the service for maintenance. While the console is unavailable, your PCs keep applying the last policy they received, and nothing they record is lost.
- We work to keep the service available but don't promise it will never be interrupted, unless your order includes a service level agreement.
- Our staff can sign in to your console only when one of your owners turns on support access, for the time and with the permissions that owner chooses.
Your responsibilities
- Use Roger Shadelyt lawfully, and tell your employees about it as the law and your workplace policies require (we can give you a notice to use).
- Keep your admin accounts secure: use two-step sign-in, and don't share accounts.
- Keep your staff as standard Windows users, as we recommend in our guide.
- Give us accurate contact and billing details, and keep them up to date.
You decide what Roger Shadelyt records about your people, and you are responsible for that data as its controller (data fiduciary).
Acceptable use
Don't use Roger Shadelyt to watch people for any purpose other than protecting your organisation's data, or in any way that breaks the law. Don't try to break into, overload or disrupt our services or other customers' consoles. Security research is welcome when it is reported to us as described on our contact page.
Confidentiality and data protection
Each of us keeps the other's confidential information confidential and uses it only for this agreement. For the hosted service, we process personal data only to provide the service and on your instructions. We sign a data processing agreement on request. Our privacy policy explains what we collect about you as a customer.
Updates and support
Updates to the software are included in your subscription. Support is by email at reachus@shadelyt.com on Indian business days. Enterprise plans include priority support, as described in your order.
Ownership
We own Roger Shadelyt and everything we provide with it. You own your data. If you send us suggestions, we may use them to improve the product without owing you anything for them.
What we promise, and what we don't
We provide Roger Shadelyt with reasonable skill and care. It greatly reduces the risk of sensitive data being shared with AI tools, but no security product can stop every leak, and it doesn't replace your other security controls, policies and training. Apart from what these terms say, and as far as the law allows, the service is provided without other promises or warranties.
Liability
Neither of us is liable for indirect or consequential losses, or for lost profits, revenue or data. Each party's total liability under these terms is limited to the fees you paid us in the 12 months before the claim. These limits don't apply to your obligation to pay our fees, or to anything the law doesn't allow to be limited.
Renewal and ending the subscription
- Subscriptions renew for the same period unless you cancel before the renewal date. How to cancel, and when refunds apply, is on our cancellation and refunds page.
- Either of us may end the agreement if the other seriously breaks these terms and doesn't put it right within 30 days of being told.
- When the agreement ends, stop using the software and uninstall it. We remove your console and the keys we held for it within 30 days; your data is in your own database.
Changes to these terms
We may update these terms. We tell current customers by email at least 30 days before a change takes effect. Continuing to use the service after that means you accept the change.
Law and disputes
These terms are governed by the laws of India. If we disagree about something, we will first try to settle it in good faith within 30 days. If we can't, the courts of India have jurisdiction.
